Terms of Service

The baseline terms for using NeighborKonnect as HOA and community association management software.

Effective date: May 5, 2026

1. Agreement To These Terms

These Terms govern access to and use of NeighborKonnect, a SaaS platform for HOA, COA, gated community, property management, resident, staff, vendor, and board operations. By using the platform, creating an account, accepting an invitation, submitting information, or accessing a community workspace, you agree to these Terms and any applicable order form, subscription agreement, or community-specific policy.

If you use NeighborKonnect for an HOA, COA, management company, employer, vendor, or other organization, you represent that you are authorized to use the service on that organization's behalf and to follow its policies and governing documents.

2. Platform Role

NeighborKonnect provides software tools. The platform does not replace an HOA board, property manager, legal counsel, accountant, security provider, gate operator, emergency service, or governing document. Community decisions, approvals, fines, access decisions, records, notices, and communications remain the responsibility of the applicable community organization and authorized users.

NeighborKonnect may help organize workflows and records, but users are responsible for checking accuracy, following applicable laws, and confirming that actions comply with the community's governing documents, policies, contracts, and professional obligations.

3. Accounts And Access

You are responsible for keeping your login credentials secure, using accurate account information, and promptly notifying us or your community administrator about suspected unauthorized access. You may not share credentials, bypass access controls, impersonate another person, or access a community workspace unless you are authorized to do so.

Community administrators control many user roles, permissions, resident records, modules, and tenant settings. NeighborKonnect may suspend or restrict access when needed to protect the service, investigate abuse, comply with law, or enforce these Terms.

4. Customer And User Content

Users and customers may upload, submit, send, or store community records, messages, files, documents, images, visitor information, vehicle information, resident details, payment metadata, work orders, requests, and other content. You retain any rights you have in that content, and you grant NeighborKonnect the rights needed to host, process, transmit, display, secure, back up, and support it as part of the service.

You are responsible for content you submit and for ensuring you have the right to submit it. You may not upload unlawful, misleading, infringing, harmful, malicious, abusive, or unauthorized content.

5. Acceptable Use

You may not use NeighborKonnect to violate law, infringe rights, send spam, harass or discriminate, distribute malware, scrape or harvest data, reverse engineer the service, overload systems, evade security controls, interfere with another tenant, or use community data outside the scope of your authorized HOA role.

Messaging tools must be used for legitimate community, operational, service, transactional, or consented communications. Users are responsible for honoring communication preferences, opt-out requests, quiet-hour expectations, and applicable messaging rules.

6. Subscriptions, Fees, And Third-Party Services

Paid access may be governed by an order form, invoice, subscription plan, or written agreement. Fees, taxes, renewal terms, cancellation rights, and usage limits are controlled by those commercial terms. Some features may depend on third-party providers for hosting, email, SMS, payment processing, identity, storage, analytics, mapping, or integrations.

Third-party services may have their own terms, privacy notices, availability limits, fees, and processing rules. NeighborKonnect is not responsible for third-party services outside our control.

7. Intellectual Property

NeighborKonnect and its software, designs, workflows, interfaces, documentation, trademarks, logos, and related materials are owned by NeighborKonnect or its licensors. Except for the rights expressly granted to use the service, no rights are transferred to you.

Feedback, suggestions, or ideas about NeighborKonnect may be used without restriction or compensation, provided we do not disclose your confidential information in doing so.

8. Availability, Changes, And Support

We work to keep the platform reliable, secure, and useful, but availability may be affected by maintenance, upgrades, outages, third-party providers, internet disruptions, emergencies, or events outside our control. We may add, change, suspend, or remove features as the platform evolves.

Support may be provided through in-product tools, email, documentation, or other channels. Support response times may vary by subscription, severity, and operational availability.

9. Disclaimers And Limitations

To the fullest extent permitted by law, NeighborKonnect is provided on an as-is and as-available basis, without warranties that the service will be uninterrupted, error-free, or fit for every specific community need. NeighborKonnect does not provide legal, tax, accounting, insurance, security, emergency, or property management advice.

To the fullest extent permitted by law, NeighborKonnect will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, loss of goodwill, or business interruption. Any direct liability will be limited as stated in the applicable written agreement or, if none applies, to the amount paid for the service giving rise to the claim during the twelve months before the event.

10. Suspension And Termination

Access may be suspended or terminated if fees are not paid, an agreement expires, a customer requests closure, a user violates these Terms, continued access creates risk, or termination is required by law. After termination, access to customer data may be limited, deleted, exported, or retained according to the applicable agreement, law, audit needs, and backup practices.

11. Governing Terms And Updates

If a signed agreement or order form conflicts with these online Terms, the signed agreement or order form controls for that customer. These Terms are governed by applicable U.S. law and the governing-law provisions in the applicable written agreement, if any.

We may update these Terms from time to time. Continued use of NeighborKonnect after updated Terms are posted or communicated means you accept the updated Terms.
